USA Rare Earth to Go Public via Merger with Inflection Point Acquisition
August 29, 2024 : USA Rare Earth, a leading domestic rare earth mining and magnet company, has announced plans to become publicly traded through a business combination with Inflection Point Acquisition Corp. II. The proposed transaction values USA Rare Earth at a pro-forma enterprise value of $870 million and is expected to be completed in early 2025.
USA Rare Earth is a joint venture operating partner of the TMRC Round Top Project, a significant rare earth mineral deposit in Texas. The company focuses on developing a vertically integrated domestic supply chain for rare earth magnets, critical components in various industries, including electric vehicles, renewable energy, and defense.
The proposed business combination with Inflection Point Acquisition Corp. II will provide USA Rare Earth with the capital and resources needed to expand its operations and accelerate its growth. As a publicly traded company, USA Rare Earth will have access to a wider pool of investors and increased visibility in the market.
The move comes amidst a growing focus on securing domestic sources of critical minerals, such as rare earths, which are essential for a variety of technologies. The United States has been increasingly reliant on imports of these minerals, particularly from China. USA Rare Earth’s efforts to establish a domestic supply chain are aligned with the government’s goal of reducing dependence on foreign sources.
The proposed business combination is subject to customary closing conditions, including approval from shareholders of both companies and regulatory review. If approved, the transaction is expected to provide USA Rare Earth with the opportunity to become a publicly traded company and contribute to developing a domestic rare earth industry in the United States.
